Terms and conditions:how we work, in writing
These terms and conditions set out how we work: what a quote covers, when invoices fall due, who owns the code when the project ends, and what happens if something goes wrong.

1. Who these terms and conditions are with
These terms and conditions apply to work carried out by Tizfai Technologies (org.nr 559184-7379), Kumminvägen 1, 611 46 Nyköping, Sweden, for a client.
They set out how we work by default, and they are written for business customers — they are not consumer terms. A signed proposal or contract takes precedence over anything written here. These terms fill the gaps; they do not override an agreement.
2. Quotes and scope
We quote a fixed price for a defined scope, in writing, before any work begins — you can ask for a quote here. The quote lists what is included and what is not.
A quote is valid for 30 days. Once you accept it, the scope is fixed. We build what was agreed, at the price agreed, and we do not issue change orders for work inside it.
If you want something outside the agreed scope, we quote it separately before starting. You decide whether to go ahead.
3. What we need from you
Projects run on time when both sides do their part. We need content, brand material, access to accounts and decisions in reasonable time — usually five working days per request.
If we wait more than fifteen working days for you, we may pause the project. We resume when our schedule allows. Fixed dates in the proposal assume the agreed response times.
4. Payment
- 40% on signing, before work starts.
- 40% when the build is ready for your review.
- 20% on launch.
Invoices are due 30 days from the invoice date. Prices exclude VAT, which we add at the rate required by Swedish law.
Late payment carries interest under the Swedish Interest Act (Räntelagen): the reference rate plus eight percentage points. A statutory reminder fee is added. If an invoice is more than 30 days overdue, we may pause work until it is settled.
5. Timelines
Dates in the proposal are commitments on our side, provided you meet the response times in section 3. If a date slips because of something we control, we tell you as soon as we know. We do not charge for the delay.
We are not liable for delays caused by events outside our reasonable control. That includes your suppliers, outages at third-party services and changes in the law.
6. Who owns what
When the final invoice is paid, you own the work: the source code, the designs and the content we produced. We transfer those rights to you in full.
Two things stay with us. The first is the general tools, libraries and techniques we bring to every project. The second is any third-party component under its own licence, which passes to you on that licence's terms, not ours.
Until the final invoice is paid, the work remains our property and is licensed to you only for review.
7. Showing the work
We may show the finished work in our portfolio and describe what we built. If you would rather we did not, tell us in writing. We never publish anything confidential — your data, your numbers, or anything marked as such.
8. Warranty after launch
For 90 days after launch we fix, at no charge, anything that does not work as the agreed scope says it should.
The warranty does not cover changes you or a third party make to the code, or new requirements. Nor does it cover browser or platform changes after launch, or problems caused by a third-party service.
After 90 days, we offer support and maintenance under a separate agreement.
9. Confidentiality
Anything you tell us about your business that is not public stays between us, during the project and after it. The same obligation applies to us in the other direction.
This does not apply to information that is already public or that we knew before you told us. Nor does it apply when a court or authority requires us to disclose it.
10. Personal data in your project
If we process personal data on your behalf — for example when we host, support or migrate a system that holds data about your customers or staff — we sign a data processing agreement before we start. You remain the controller of that data, and we act only on your instructions.
How we handle the personal data of people who contact us is described in our privacy policy.
11. Limits of liability
We are liable for direct damage caused by our negligence. Our liability is capped at the total amount you have paid us for the project in question.
We are not liable for indirect or consequential loss, such as lost profit, lost data, lost business or the cost of a substitute service. The exception is damage caused intentionally or through gross negligence.
Nothing in these terms limits liability that cannot be limited under Swedish law.
12. Ending the project
Either side can end the project in writing with 30 days' notice. If you end it, you pay for the work done up to that point. You also pay for commitments we have already made on your behalf.
If either side materially breaches these terms, the other side can point it out in writing. If the breach is not fixed within 30 days, the other side may end the agreement immediately.
On ending, we hand over everything produced and paid for.
13. Applicable law
These terms are governed by Swedish law. Disputes go to Nyköpings tingsrätt as the court of first instance.
Before going to court, both sides agree to sit down, in person or on a call, and try to settle it.
14. Changes to these terms and conditions
We may update these terms. The version published when you accepted a quote applies to that project; a change only applies to quotes issued after it. The date at the top shows when the text last changed.
Ask before you sign, not after. Write to info@tizfai.com and we will explain any clause in plain language.
